Terms & Conditions
1. Eligibility & Participation
1.1 Active Subscription Requirement
You must hold an active, paid Annual CoolPlus Subscription:
- At the time the referred purchase is completed; and
- At the time any reward is paid.
1.2 Personal Capacity Only
You participate in this program strictly in your personal capacity as an independent participant. You must not:
- Act on behalf of a school, employer, or organisation; or
- Represent yourself as an agent, partner, or employee of CoolPlus.
1.3 Age & Legal Capacity
You must be at least 18 years old and legally able to enter into this agreement in your jurisdiction.
2. Qualified Referrals
2.1 Qualified Referral
A Qualified Referral is a referred user who:
- Is a new customer (not an existing, previous, trial, or refunded user).
- Completes a full-price Annual CoolPlus Subscription purchase using your valid referral link or code.
- Is correctly attributed to you through CoolPlus' tracking systems.
- Does not cancel, refund, or dispute their subscription at any time prior to payout.
- Remains in good standing and compliant with CoolPlus terms.
2.2 Attribution Rules
- Referral attribution is determined solely by CoolPlus systems.
- CoolPlus may apply last-click, first-click, or other attribution models at its discretion.
- If attribution cannot be reliably determined for any reason, the referral will not qualify.
3. Rewards
3.1 Commission
You may receive $50 AUD per Qualified Referral, subject to these terms.
3.2 Customer Benefit
The referred user may receive a $50 AUD discount on their first annual subscription.
3.3 Annual Cap
Commissions are capped at:
- 10 Qualified Referrals ($500 AUD total) per participant
- Per 12-month period, calculated from 5 October each year (World Teacher Appreciation Day)
Any referrals made beyond this cap will not accrue commissions.
3.4 No Guarantee of Earnings
CoolPlus makes no guarantee that any referrals will result in commissions.
3.5 Non-Transferable
Commissions have no cash value until paid out, are non-transferable, and cannot be swapped for "Stored Value" or used for peer-to-peer transfers.
4. Commission Status & Forfeiture
4.1 Pending Period (Minimum 90 Days)
All commissions remain in a pending state for at least 90 days from the referred purchase date.
4.2 Conditional Approval
After 90 days, commissions may be marked as approved for payout, but remain conditional.
4.3 Forfeiture Conditions
A commission may be reversed, withheld, or forfeited at any time prior to payout if:
- The referred user cancels, refunds, disputes, or downgrades
- The transaction is fraudulent or invalid
- The referral breaches these terms
- Attribution is disputed or cannot be verified
- The participant breaches any CoolPlus terms
- CoolPlus reasonably suspects misuse, manipulation, or abuse of the program
4.4 No Vested Rights
Commissions do not become payable or vested until successfully paid. All commissions enter a "Pending" state for 90 days (the Confirmation Period).
4.5 Clawback Provision
If a referred user cancels or receives a refund at any point prior to the Annual Payout Date (October 5th), the associated commission is forfeited immediately, regardless of whether the 90-day period has passed.
5. Prohibited Conduct
5.1 Prohibited conduct
You must not:
- Refer yourself (directly or indirectly)
- Create multiple accounts to generate commissions
- Engage in "refer-and-refund" behaviour
- Use misleading, deceptive, or spam-based promotion
- Use paid ads, impersonation, or brand bidding without approval
- Misrepresent CoolPlus, its pricing, or its services
- Violate any applicable law or platform rules
5.2 Fraud detection methods
CoolPlus may use fraud detection methods including (but not limited to):
- Device analysis
- IP monitoring
- Behavioural signals
5.3 Consequences of breach
Any breach may result in:
- Disqualification
- Forfeiture of commissions
- Suspension or termination of your account
6. Payout Terms
6.1 Payout Timing
All eligible commissions are paid once annually on or after 5 October.
6.2 Payment Method
Payments are made via a third-party provider (currently Wise), or an alternative provider at CoolPlus' discretion.
6.3 Participant Responsibility
You are responsible for:
- Providing accurate contact details
- Completing any required payment setup
- Complying with third-party provider requirements
CoolPlus is not responsible for payment delays or failures caused by:
- Incorrect details
- Third-party provider issues
- Failure to complete required steps
You must provide a valid email address in your dashboard. Wise will contact you via this email to collect your banking details. CoolPlus is not liable for lost funds due to:
- Incorrect email addresses
- Failure to claim funds from Wise within their specified timeframe
- Bank rejection of the transfer
6.4 CoolPlus rights
CoolPlus may:
- Delay payments for investigation
- Set minimum payout thresholds
- Require identity verification before payment
7. Tax & Financial Responsibility
7.1 Tax obligations
You are solely responsible for:
- All tax obligations (including income tax and GST, if applicable)
- Any reporting obligations in your jurisdiction
7.2 Marketing commissions and tax advice
You acknowledge that these payments are "Marketing Commissions." We recommend consulting a tax professional regarding your personal circumstances and ATO reporting requirements.
CoolPlus does not provide tax advice.
8. Program Changes & Termination
8.1 Program modifications
CoolPlus may, at any time:
- Modify, suspend, or terminate the Referral Program
- Change reward amounts, caps, eligibility, or payout structure
- Introduce additional conditions or restrictions
- Void any commissions suspected of being generated via fraud, "botting," or misleading advertising
- Change the reward amount or payout date at its sole discretion
8.2 Effect of changes
Changes apply to future referrals only, except where required to:
- Prevent fraud or abuse
- Comply with legal obligations
- Correct errors or system issues
8.3 Additional remedies
CoolPlus may also:
- Cancel or withhold commissions
- Disqualify participants
- Terminate accounts
where it reasonably believes there has been misuse or breach.
9. Limitation of Liability
To the maximum extent permitted by law:
- CoolPlus is not liable for indirect, incidental, or consequential loss
- CoolPlus does not guarantee uninterrupted or error-free program operation
- CoolPlus is not responsible for tracking failures, lost referrals, or system errors
Nothing in these terms excludes rights that cannot be excluded under applicable law.
10. Privacy & Data Use
10.1 Privacy Policy
Participation in the program is subject to the CoolPlus Privacy Policy.
10.2 Data use
By participating, you acknowledge that CoolPlus may:
- Collect and process data for referral tracking, fraud prevention, and program administration
- Use automated systems to detect abuse
11. Governing Law
These terms are governed by the laws of Victoria, Australia.
Any disputes will be subject to the exclusive jurisdiction of the courts of that state.
